Background

The new Pacific Autism Family Centre is moving towards a construction start in 2014, with completion in 2015. Fundraising and construction of the Centre is the responsibility of the PAFC Foundation. The Board of Directors of the Foundation has determined that an individual should be contracted to assume a leadership role in planning and setting up the Centre’s operations. This will be an interim position for a term of two to three years (TBD).

Programs operated from the Centre will be undertaken by a variety of societies, which have not yet been selected; however, overall responsibility for operating the building and providing certain leadership functions will be led by the PAFC Society. The Society is currently in place as a legal entity but is not yet established as an operating organization.

Purpose

The PAFC Interim (Title TBD) and Governance Committee is tasked to:

  • Assist the PAFC Foundation in searching for and securing an Interim (Title TBD) for the new PAFC Centre.
  • Provide recommendations to the Foundation on key governance issues including the timing for establishing the PAFC Society and formalizing the structure and mandate of the Advisory Council.

Objectives and Deliverables

(Title TBD) Search:

  • Develop Terms of Reference and remuneration for the new position of Interim (Title TBD). This will include determining an appropriate title for this position;
  • Prepare a budget for the search;
  • Create a strategy for the search including advertising approach;
  • Establish criteria for evaluation of applications and shortlisting candidates;
  • Provide recommendations on a format committee to interview;
  • Provide recommendations on the format for interviews;
  • Provide recommendations for interview questions; and
  • Provide advice on key contract elements.

Governance:

  • Provide recommendations on the structural details of the Society membership – who are its members, what are their terms;
  • Provide recommendations on the timing for activating the PAFC Society including elections for the Board of Directors (noted: 50% plus one are PAFCF appointed);
  • Provide recommendations on the board makeup; skillset requirements; and
  • Provide recommendations on the arrangements for the Advisory Council including appointments for it membership, terms and role.

Reporting

The Interim (Title TBD) and Governance Committee will report to the Foundation through the PAFC Steering Committee. The appointment of the new Interim (Title TBD) will be the responsibility of the PAFC Foundation.

Timeline

The Interim (Title TBD) and Governance Committee will commence work in August 2013, with the objective of enabling the appointment of an Interim (Title TBD) before December 31, 2013 and providing Governance recommendations no later than December 31, 2013.

Committee Membership

The Board of Directors of the PAFC Foundation will appoint five individuals to this committee including a Director from the Foundation. Appointees should ideally have experience in the autism community, including an understanding of province-wide issues, the non-profit sector and human resources.

Committee Meetings

  • Recommendations will be made on the basis of consensus, where possible;
  • Where consensus is not attainable, dissenting views will be recorded;
  • Meetings will be on an as required basis and utilize conference calling; and
  • Meetings will be minuted.

Resources

The Project Manager will resource the Committee if required. Legal Counsel will be available from Farris Vaughn Wills and Murphy LLP (Farris).
